HMT has strong experience in the sale of private companies for financial institutions and individual shareholders.

Our partners have led several of the most notable disposals in the Thames Valley and South of England in recent years, and in the current markets deep experience of completing deals is essential to successful processes.

The one common goal shared by most shareholders is to maximise the value realised from a disposal process. For many shareholders, selling their business is a once in a lifetime event. Our objective is to obtain the best combination of price, form of consideration, deal structure and compatible purchaser within an agreed timescale. HMT’s experience of planning and successfully executing business exits also enables us to identify opportunities to enhance value throughout the transaction process.

We actively manage the disposal process from the initial planning and pre-marketing stages through to completion. Our process is partner led, and as an entrepreneurial business ourselves we understand the drivers and pressures owner-managers face.

We provide clients with an exit strategy review and advise shareholders of the various exit options available to them. This can include full or partial trade sale, sale to management via institutional funding or restructuring the business to facilitate on equity release.

Through our extensive research capability and our relationships with acquisitive corporates and private equity institutions, we will identify the potential purchasers with the strategic rationale and financial capability to both pay a premium price and also deliver the deal.

Our role includes the preparation of the Information Memorandum, organisation of the electronic data room, management presentations, leading negotiations through to actively managing all the advisers including lawyers and due diligence providers, through to a successful completion.
