Project Description

ICA-digitalHMT LLP advised ICA Group, a leading document management and solution provider on its refinancing and shareholder restructuring. Facilities were provided by existing debt providers, Natwest.

The ICA business was established in 1993 and has developed into a leading document management solutions provider servicing SMEs and small businesses in the South East of England.  ICA‘s core business is the resale and maintenance of Kyocera, Ricoh and Toshiba office printing equipment, predominantly to the not for profit, commercial, education and legal & professional services sectors.

Having completed an MBO of the business in 2009, management have maintained strong performance through difficult market conditions and the business is now well placed to pursue its growth plans in a more stable trading environment. This transaction allows existing shareholders to partially realise their investment whilst providing the facilities needed to allow the business to continue its development.

HMT assisted both in negotiating the funding package and terms of the restructuring, as well as providing tax advisory services as part of the transaction.

Simon Whapshott, Managing Director at ICA Group commented,

“HMT provided invaluable advice in assessing funding options and negotiating a deal which was agreeable to all parties. We would like to the team for their assistance and look forward to working with them again in the future.”

Andrew Thomson commented,

“We are delighted to have acted for ICA again a number of years after the MBO and wish the management team the best of luck for the future.”
