Liberty Global-backed egg acquires solar construction division of 3ti Energy Hubs Ltd

HMT LLP advised 3ti Energy Hubs Ltd on the disposal of their solar construction division to egg, the clean energy solutions provider backed by Liberty Global.
Solar car parks are dual-purpose structures that combine a vehicle shelter with solar panels integrated into its roof, generating electricity from sunlight while providing shade for parked cars. 3ti’s solar car park, roof top and ground mount portfolio has already generated over 20 GWh of clean electricity. The acquisition also enables 3ti to focus exclusively on scaling its award-winning Papilio3 technology.
3ti is a certified B Corporation focused on delivering fairer, faster, cleaner EV charging infrastructure through its award-winning Papilio3 Smart Solar EV Charging Hub, enabling rapid deployment of up to 12 charge points in a single day.
egg is a Liberty Global-backed clean energy company delivering financed solar, battery storage, and EV charging infrastructure to commercial, public sector and residential customers.
The acquisition enhances egg’s ability to deliver solar projects across a wide range of sites. egg delivers fully managed solar, infrastructure to businesses and the public sector, combining design, installation and financing into one simple monthly fee. The deal includes 3ti’s enterprise pipeline, proprietary design software, intellectual property, and a skilled team with deep expertise in solar car port, roof top and ground mount construction.
The HMT team acted as sell-side lead advisor on the transaction which included identifying suitable acquirers, negotiating detailed terms, supporting the business through an extensive due diligence process and project managing the deal to a successful completion.
