Acquisition of CCSS by EA-RS Fire Group

HMT LLP advised Rockpool Investments’ portfolio company, EA-RS Fire Engineering (“EA-RS”) on their acquisition of Birmingham based fire and security provider, CCSS.

Rockpool completed its investment into EA-RS Fire Group in January 2021 and has now completed the first bolt-on for the buy and build strategy led by the management team.

Headquartered in Birmingham, CCSS is a provider of fire and security services and works with some of the UK’s leading housing associations. The acquisition of CCSS will provide EA-RS Group with a centre of excellence for housing associations which are all under pressure to meet the demand for housing, ensure the highest standards for fire and security are delivered and the increasing regulatory requirements are met.

The acquisition of CCSS Fire and Security reinforces EA-RS pursuit for Excellence of Fire Safety and security in the social housing and residential sectors, and will overlay seamlessly with the existing EA-RS team and technologies.  EA-RS will increase its geographical presence within the Midlands area and is now perfectly placed to fulfil their objective of supporting UK wide housing providers.

HMT undertook financial due diligence for EA-RS Fire Group on this transaction.

Alan Wheal, CEO at EA-RS Fire Group commented:

“HMT gave us the early financial visibility to secure and drive the purchase of CCSS through in aggressive timescales. We are delighted that Sarah Kerr the Managing Director of CCSS has agreed to join the EA-RS Fire Group and help us to deliver our promise of excellence for Fire Safety in the housing and regeneration sector. Thank you to Andrew and Paul for your efforts.”

Will Beckett, Investment Executive at Rockpool Investments commented:

“We are delighted to have been able to support EA-RS on the acquisition of CCSS. This is the first bolt-on acquisition undertaken by the company since Rockpool’s investment in January 2021 and represents EA-RS’ ambition to become a national provider of fire safety. We are grateful for the buyside diligence support provided by HMT. Paul and Andrew’s advice was both insightful and pragmatic.”

Paul Read commented:

“We are delighted to have advised Rockpool Investment’s portfolio company EA-RS Fire Group on their acquisition of CCSS and to have played a role in what represents an important step in the journey for EA-RS, delivering on an ambitious buy and build strategy led by their management team.  The CCSS brand can be developed as part of the Group’s future growth strategy. We look forward to working with EA-RS again in the future.”
