Sell-Side services to Private Equity

Liasing with our due diligence team we can also ensure that a private equity backed business is fully prepared for the disposal process. Whether a full vendor due diligence exercise is required or not, we can work with the company to produce comprehensive data packs and a first class financial data room.
Completion mechanisms
Often neglected by vendors and brokers until very late in the process, we pride ourselves on adding value through the negotiation of the completion mechanism, whether we are acting for the buyer or the seller.
Regardless of whether the deal process calls for completion accounts or a locked box mechanism, it is critical to fully negotiate all aspects of the legal documents to ensure that the allocation of value resulting from balance sheet items is fair and appropriate. Effective negotiation of the enterprise to equity bridge, including the treatment of working capital, can make a significant difference to the cash at completion figure and will ensure that the business is properly, but not overly, funded as it moves into new ownership.
When we are engaged to sell a business, we will fully explore and negotiate this aspect of the deal. Where this element of a transaction has been neglected, we can step in and provide this element of the negotiation as a stand alone service. This may be of particular relevance to corporate lawyers or brokered deals where there is otherwise limited financial input available.
