Project Description

HMT LLP advised the shareholders of leading M&E contractor Ceetech Limited on their disposal of the business to leading environmental, engineering and technical services business, RSK Group Ltd.

Based in East Anglia UK, Ceetech was established in 2001 and has built a solid reputation for delivering engineering excellence. Employing a strong team of circa 70 people, Ceetech designs, specifies, installs, and maintains infrastructure for a wide range of public and private sector clients including hospitals, education, leisure, retail, industrial, custodial, and military facilities. The business has a well-established network of direct clients and Tier 1 contractors and is working on a variety of multi-million-pound design and build projects.

Having established the business over 20 years ago the shareholders mandated HMT to find a strategic acquirer who will help the business continue on its impressive growth journey.

RSK is a leading environmental, engineering and technical services group consisting of over 130 businesses and employing more than 8,000 specialists. The group is headquartered in Cheshire, UK, and has an established presence in more than 40 countries around the world. They strive to provide end-to-end solutions to clients across a wide range of sectors including energy, transportation and water and have built their service offering around the UN Sustainable Development Goals.

HMT acted as lead advisors on the transaction which included assessing the strategic options for the shareholders, negotiating detailed disposal terms, financial modelling and project managing the deal to a successful completion.

John Broome, Chairman and Founder of Ceetech commented:

“We are delighted to have appointed HMT as lead advisors on this transaction. Andrew and Ricky have been very hands-on and professional, providing commercial and practical support throughout the process, anticipating and resolving all deal critical issues to ensure a successful outcome for the shareholders. Their deal experience and pragmatism advice helped us get the deal done with minimal disruption to the day to day running of the business.”

Andrew Thomson commented:

“Ceetech’s founders have built an exceptional company delivering an extremely high level of service to its clients across a range of verticals.  HMT worked closely with the shareholders to manage the disposal process to both maximise the value whilst also finding a strategic partner who will take the business to the next level. The acquisition of the business by RSK will allow the business to flourish and maximise its growth potential whilst also providing new opportunities for the shareholders and staff remaining in the Group. We wish both Ceetech and RSK success for the future.”
