HMT LLP advised the shareholders of industry-leading 3PL and fulfilment specialists Synergy Retail Support Ltd on the sale of a majority equity stake to a London-based private investment company.

Established over 13 years ago and led by shareholders Gary Rees and Nick Demetriou, Synergy are industry leading fulfilment & B2B specialists. Located in Northampton, operating 7 days a week with over 600 team members, Synergy process and distribute tens of thousands of orders and returns daily. The company further offers a wide range of 3PL and fulfilment services including returns management, luxury brand services, co-packing, VAS and mould treatment.

As industry thought-leaders in innovation and automation, Synergy’s facility is powered by market-leading technology with agile and scalable operations which is supported by diverse and highly skilled employees.

Synergy work across a broad client base. From eCommerce brands to high street retailers with a strong presence in the fashion, health & beauty, food & beverage, gift & toys, and household FMCG sectors.

The transaction has enabled Nick Demetriou to exit the business in full. CEO and Founder Gary Rees has realised a significant amount of the value he has created whilst retaining a minority equity stake. Gary Rees will continue to lead the business through its next stage of rapid growth which anticipates expanding Synergy’s presence within the UK, as well as in the US, EU and LATAM in the near future.  The investment will also provide additional capital to allow the business to increase its technology and automation development.

HMT acted as lead advisors on the transaction which included assessing the strategic options for the shareholders and management, identifying suitable investment partners, negotiating detailed exit and investment terms, supporting the business through an extensive due diligence process and project managing the deal to a successful completion.
